PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

2. ELIGIBILITY

  • Live and ongoing chat-based meetings
  • Analytics and reporting
  • Integration with third-party calendar platforms

4.3. Restrictions

You may not copy, modify, reverse engineer, or remove proprietary notices from the Service.

5. USER CONDUCT AND CONTENT

5.1. Prohibited Activities

You agree not to disrupt the Service, introduce malicious software, or engage in any unlawful activities.

5.2. Content Standards

All content submitted through the Service must be lawful, accurate, and respectful of third-party rights.

5.3. Meeting Data

  • You retain ownership of your meeting data.
  • You grant us rights to use meeting data solely to provide the Service.
  • You must have necessary permissions for data shared through Voke.

6. PRIVACY AND DATA PROTECTION

  • Voke takes your privacy seriously. We do not access, sell, rent, or share your calendar or personal data with third parties.
  • Access to your calendar is strictly limited to detecting scheduled meetings for providing the Service.

  • We employ robust security measures, encryption, and regular security audits to protect your data.
  • Despite best efforts, no service can completely guarantee against data loss or breaches. We disclaim liability for incidents beyond our reasonable control and will notify you promptly if any such incident occurs.

7. SUBSCRIPTION AND PAYMENT TERMS

  • Voting functionality is free.
  • Chat meetings feature: $2.99/month, paid in advance.li>
  • Fees are non-refundable, excluding applicable taxes you are responsible for.

8. INTELLECTUAL PROPERTY RIGHTS

  • Voke retains all rights to the Service.
  • Feedback provided by you can be used without compensation.

9. THIRD-PARTY SERVICES AND CONTENT

  • The Service may integrate third-party services. You are responsible for compliance with third-party terms.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

11. LIMITATION OF LIABILITY

  • Voke is not liable for indirect, incidental, consequential, or punitive damages.
  • Our total liability will not exceed amounts paid by you in the previous 12 months.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Voke from claims related to your use of the Service or violation of these Terms.

13. TERM AND TERMINATION

  • You or Voke may terminate your account at any time.
  • Certain obligations survive termination.

14. MODIFICATIONS TO SERVICE AND TERMS

  • Voke may update the Service or Terms with reasonable notice provided on our website.

15. GOVERNING LAW AND JURISDICTION

  • These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
  • Any dispute arising from these Terms will be resolved exclusively in state or federal courts located in Austin, Texas.

16. DISPUTE RESOLUTION

  • Disputes will be resolved through binding arbitration, conducted individually with a class action waiver, except for intellectual property claims or small claims court actions.

17. CUSTOMER DATA, PRIVACY, AND SECURITY ASSURANCES

  • No Commercial Use of Data: We never sell, rent, or commercially exploit your data.
  • Limited Access: Calendar data is used only to view meetings; we do not edit or control your calendar.
  • Security Measures: We use advanced security practices to protect data integrity and confidentiality.
  • Responsibility and Liability: While we strive to ensure data protection, you acknowledge no service is completely secure. We are not liable for loss of data due to unforeseen or uncontrollable circumstances.

18. MISCELLANEOUS

  • These Terms represent the entire agreement between you and Voke.
  • If any provision is unenforceable, other provisions remain valid.
  • Failure to enforce any term is not a waiver of rights.
